This role assists and supports the Senior Corporate Governance Manager for establishing a sound Corporate Governance culture in BSF, its subsidiaries and affiliates, proactively identifies governance misconduct and mitigating controls that are reported to management. The Governance officer meets regularly with various platforms and function Advisors, officers and other stakeholders to ensure clear communication and ongoing operational control dialog addressing concerns, training, and building strong control and, also assists and supports in the implementation and maintenance of international best practices Corporate Governance standards across the BSF Groups.
This role follows-up for accomplishment of plans and objectives for the business, provides guidelines that BSF can be directed or controlled, it can fulfil its goals and objectives in a manner that adds to the value of the Bank and is also beneficial for all stakeholders in the long term and, is known to be one of the criteria that investors are increasingly depending on when deciding on investments.
- Participate in the preparation of Corporate Governance documents including Governance manual, Delegation of Authority Manual, Board and committees charters and Board policies
- Follow up on new regulations & regulations changes, assess the impact ,and ensure BSF implementation
- Assists to communicate with other Bank’s Groups or Divisions that they fully achieve good governance requirements to meet Bank’s obligations and to minimize risk
- Participate in the preparation and review of Disclosure related forms such as Related Parties, Conflict of Interests, Competing Business, Independence…etc
- Preform Governance Gap Analysis between the relevant regulations and BSF
- Performs on day-to-day basis, the Corporate Governance operations, decision making framework and ensures all necessary information is provided to the Corporate Governance Managers
- Assists to manage the implementation and maintenance of international best practices, Corporate Governance standards across the bank and its related subsidiaries, and ensures the Bank complies with its Corporate Governance disclosure obligations issued from regulatory agencies
- Participate in the preparation of the Annual Board Report
- Assists the Corporate Governance Senior Officers & Managers to best use of available resources, setting goals, determining actions and mobilizing resources to execute the actions in implementation to deliver strategic goals
- Keeps abreast of local (SAMA) and international rules practices, market trends in the Banking field to ensure BSF is well aware of new regulations
- Implements any special assignment or project given by “Head of Corporate Governance & ESG”
- Provide consultation when requested from a governance perspective
- Prepare the announcements on Tadawul website through IFSAH system & ensure its alignment with regulatory requirements and timings of disclosure prior to its approval
- Monitoring documents approved at the BoD/BoD committees level
- Updating the extranet and intranet of LGG page when needed
Skills
- Bachelor degree in Law, Business Administration, Finance ,Accounting or similar fields
- Fresh graduate -1 year of banking experience, or in the similar field
- Clear and concise oral/written communication skills.
- Proficient in English language.
